The meeting of the Town Council was called to order by Mayor Scott Pearson at 2:00 p.m. on Thursday, February
19, 2026. The meeting was held in person with virtual access provided through Zoom.

Town Clerk Susan Johnston presented. Council discussion ensued. On a MOTi ON by Alline Arguelles and
seconded by Tucker Magid, Council voted unanimously to approve the consent agenda with two ministerial
corrections and with the removal of item 4g per Councilperson Mogenson's request.

Council discussion ensued regarding agenda item 4g. On a MOTION by Harvey Mogenson and seconded by
Tucker Magid, Council voted unanimously to approve agenda item 4g with the following conditions:

  1. The clarification of the term
  2. Make a typo correction in section 3: "liable form" to "liable for"
  3. Change language: "good condition" to "original condition"

    Assistant Town Manager Michelle Bulson and Lizbeth Lemley presented. Council discussion ensued.
    Consideration of the Preliminary Financials as of Decem her 30, 2026 (6)
    Lizbeth Lemley presented. Council discussion ensued.
    Second Reading, Public Hearing and Council Vote on an Ordinance Repealing COVID-19 Ordinances
    and Resolutions (7)
    Town Attorney David McConaughy presented. The Mayor opened the public hearing. No public comment was
    received. The Mayor closed the public hearing. Council discussion ensued. On a MOTION by Pete Duprey and
    seconded by Huascar E. Gomez (Rick), Council voted (6-0) to adopt an Ordinance repealing COVID-19
    ordinances and resolutions on second reading.
    Second Reading, Public Hearing and Council Vote on an Ordinance Prohibiting the use of Graywater and
    the Installation of Graywatet Treatment Works within Municipal Boundaries (8)
    David McConaughy presented. The Mayor opened the public hearing. Public comment was received by Jonathan
    Greenspan andJolana Vanek. The Mayor closed the public hearing. Council discussion ensued. On a MOTION by
    Tucker Magid and seconded by Huascar E. Gomez (Rick), Council voted (6-0) to finally adopt the Ordinance
    prohibiting the use of graywater and the instillation of graywater treatment works within municipal boundaries on
    second reading.
    Consideration of Approval of a Resolution Approving a Conditional Use Permit Development Application
    on Lot 382R for a Padel Court, Pursuant to CDC Section 17.4.14 This Item tT'aS Continued from the

seconded by Alline Arguelles, Council voted unanimously to table this item.

reconvene as the Town of Mountain Village Town Council.
Consideration of Approval of a ResoJution Authorizing Purchase of Land from Alexander Ranch LLLP
and Appointing Authorized Signer for Closing (12)
Michelle Bulson and Assistant Town Attorney Haley Carmer presented. Council discussion ensued. On a
MOTION by Alline Arguelles and seconded by Tucker Magid, Council voted unanimously to adopt a Resolution
Approving the Purchase of Real Property included in the packet concerning the purchase of 5 acres of land from
Alexander Ranch LLLP.
Consideration of Approval of Declaration of Restrictive Covenant for Alexander Ranch LLLP Parcel (13)
Michelle Bulson and Haley Carmer presented. Council discussion ensued. On a MOTION by Pete Duprey and
seconded by Alline Arguelles, Council voted unanimously to approve the Declaration of Restrictive Covenant
included in the packet and the recordation of the same against the 5 acres of land to be purchased from Alexander
Ranch, LLLP.
Discussion Regarding an Ordinance and Community Development Code Amendments to Comply with
the Colorado Wildfire Resiliency Code (14)
Daniel Alvarado, Amy Ward, Town Forester Rodney Walters, and Chief Building Official Lars Forsythe presented.
Council discussion ensued.
Consideration of Approval of a Resolution Adopting the Mountain Village Community Resilience Plan

Sustainability & Grants Project Manager Lauren Kirn, Cascadia Consulting Group Director & Partner Andrea
Martin, and Cascadia Consulting Associate Lucy Harrington presented. Public comment was received by Jolana
Vanek, Douglas Tooley,Jonathan Greenspan, and Richard Thorpe. Council discussion ensued. On a MOTION by
Huascar E Gomez (Rick) and seconded by Pete Duprey, Council voted (5-1) (with Harvey Mogenson dissenting) to
approve a Resolution adopting the Mountain Village Community Resilience Plan with the addition of the word
"Advisory" to the title: Resilience Advisory Plan.

Amy Ward presented. Council discussion ensued. On a MOTION by Huascar E Gomez (Rick) and seconded by
Tucker Magid, Council voted unanimously to continue this item to the March 19, 2026 Town Council Meeting.
Investigation Update and Consider Ratification of Engagement Agreement with Wheeler Trigg
O'Donnell, LLP (17)
David McConaughy and Mayor Scott Pearson presented. Council discussion ensued. Public comment was received
by Jolana Vanek,Jonathan Greenspan, Dan Jansen, Richard Thorpe, and Douglas Tooley. On a MOTION by Pete
Duprey and seconded by Harvey Mogenson, Council voted unanimously to ratify the hiring of Wheeler Trigg
O 'Donnell to conduct an internal investigation for the Town and the engagement letter previously signed by the
Mayor for that purpose.
Appointment of Qualified Resident to Fill Town Council Vacancy (18)
Michelle Bulson, David McConaughy, Susan Johnston, Turner James, Dan Jansen, Heather Knox and Jonathan
Greenspan presented. Public comment was received by Susanne Connolly, J olana Vanek, and Paul Savage. Council
discussion ensued. On a MOTION by Huascar E . Gomez (Rick) and seconded by Harvey Mogenson, Council
voted (6-0) to appoint Dan Jansen to the recently vacated Town Council seat. Susan Johnston administered the oath
of office to the newly appointed Town Council member.

Strategy for Negotiations: and Instructing Negotiators Regarding Wastewater Treatment Plant
Pursuant to C.R.S. 24-6-402(4)(e) and for Legal Advice Under C.R.S. 24-6-402(4)(b)
