The meeting of the Town Council was called to order by Mayor Pro Tern Scott Pearson at 5:00 p.m. on Sunday,
January 25, 2026. The meeting was held in person with virtual access provided through Zoom.

On a MOTION by Huascar E. Gomez (Rick) and seconded by Pete Duprey, Council voted unanimously to add an
agenda item to the executive session:
Discussion of a Personnel Matter Under CRS 24-6-402(4)(f) and Not Involving Any Specific Employees
Who Have Requested Discussion of the Matter in Open Session; any Member of This Body or any Elected
Official; the Appointment of any Person to Fill an Office of This Body or of an Elected Official, or
Personnel Policies that do not Require the Discussion of Matters Personal to Particular Employees.

Specifically, the Executive Session may Include Some Discussion of the Town Manager who has Provided
his Consent to the Executive Session Without His Participation.
Public comment was received by J olana Vanek and Jonathan Greenspan.
Executive Session for the Pur:pose of (2):
a. Receiving Legal Advice for the Purpose of: a. Receiving Legal Advice Under CRS 24-6-402(4)(b),
Specifically to Discuss the Circumstances Surrounding the Recent Resignation of the Mayor
b. Receiving Legal Advice Under CRS 24-6-402(4)(b), Specifically to Discuss Colorado Open Records
Act Procedures
c. Discussion of a Personnel Matter Under CRS 24-6-402(4)(0 and Not Involving Any Specific
Employees Who Have Requested Discussion of the Matter in Open Session; any Member of This
Body or any Elected Official; the Appointment of any Person to Fill an Office of This Body or of an
Elected Official, or Personnel Policies that do not Require the Discussion of Matters Personal to
Particular Employees. Specifically, the Executive Session may Include Some Discussion of the
Town Manager who has Provided bis Consent to the Executive Session Without His Participation.
On a MOTION by Huascar E. Gomez (Rick) and seconded by Harvey Mogenson, Council voted unanimously to
move into Executive Session at 5:06 p.m. for the purpose of:

Scott Pearson presented. Public comment was received by Eric Thoren, Ellen Yarrell, Jonathan Greenspan and
Lynn Holbert.
On a MOTION by Harvey Mogenson and seconded by Huascar E. Gomez (Rick), Council voted unanimously to
adjourn the meeting at 6:32 p.m.
